1. Agreement
By accessing or using Catalog Delta, you agree to these Terms and the Privacy Policy. If you use the service for an organization, you represent that you have authority to bind that organization. You must be at least 18 years old or the legal age to form a contract where you live.
2. The service
Catalog Delta is a browser-based tool that compares supplier CSV catalogs and creates change reports and draft Shopify update files. It is an assistance tool, not an inventory, accounting, legal, tax, or financial system of record. You are responsible for reviewing results before importing data or making business decisions.
3. Accounts and acceptable use
You are responsible for access to your email account and for activity under your Catalog Delta account. You may not misuse the service, bypass access or billing controls, interfere with its operation, probe for vulnerabilities without written authorization, introduce malicious code, violate law, or use it to infringe another person’s rights. You must have the right to use any files you process.
4. Trials, subscriptions, and renewal
The price, billing interval, trial length, and date of the first charge are shown before you confirm Stripe Checkout. A card may be required to start a trial. Unless you cancel before the trial or current billing period ends, the subscription automatically renews and Stripe charges the payment method on file at the displayed recurring price, plus applicable taxes.
You can cancel through Manage Billing inside Catalog Delta. Cancellation normally takes effect at the end of the current trial or paid billing period, and access continues until that time unless stated otherwise. Refunds are governed by the Refund Policy.
5. Your files and output
You retain your rights in the files you select and the reports created from them. Catalog files are processed locally in your browser and are not uploaded to Catalog Delta’s servers. You are responsible for keeping original files and backups and for confirming the accuracy and suitability of exported results.
6. Service availability and changes
We may maintain, modify, suspend, or discontinue features. We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may suspend or terminate access for nonpayment, security threats, abuse, or material violation of these Terms.
7. Ownership
Catalog Delta, its software, design, branding, and documentation are owned by Michael Carlson or licensed to him. These Terms grant you a limited, revocable, nonexclusive, nontransferable right to use the service for your internal business purposes while your account is authorized.
8. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, or availability. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
9. Limitation of liability
To the maximum extent permitted by law, Michael Carlson and the Shaedus brand will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities. Aggregate liability relating to the service will not exceed the amount you paid for Catalog Delta during the three months before the event giving rise to the claim. These limits do not apply where prohibited by law.
10. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute that is not resolved informally will be brought in a court with proper jurisdiction in Florida, except where consumer law requires otherwise. Before filing a claim, please contact support@shaedus.com so we can try to resolve it.
11. Changes and contact
We may update these Terms prospectively. If a change materially affects your rights, we will provide reasonable notice when appropriate. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. Questions can be sent to support@shaedus.com.
